Microsoft & OpenAI Strengthen Strategic Alliance With New Public Benefit Structure and Expanded AI Rights

Microsoft and OpenAI have officially entered a new chapter in their partnership following a definitive agreement and OpenAI’s transition into a Public Benefit Corporation (PBC). This major restructuring empowers OpenAI to pursue greater capital expansion and broader collaboration opportunities, while Microsoft now holds an investment valued at approximately $135 billion, representing around 27% on an as-converted diluted basis including employees, investors, and the OpenAI Foundation.

Under the updated agreement, any declaration of Artificial General Intelligence (AGI) by OpenAI will be reviewed and confirmed by an independent expert panel for transparency and ethical oversight. Microsoft’s intellectual property rights have been extended through 2032, covering future AI models, including those developed post-AGI, with strengthened safety regulations in place.

Microsoft will maintain access to OpenAI’s confidential research methodologies until AGI is achieved or until 2030, whichever occurs first. Meanwhile, non-research IP such as model weights, architecture, inference systems, and core data-center software remain accessible to Microsoft, though OpenAI’s consumer hardware is excluded from these rights.

The partnership now allows both organizations more independence. OpenAI may collaborate with third-party developers — with API-based solutions remaining exclusive to Azure — while Microsoft can independently pursue AGI development with or without OpenAI’s technologies. If Microsoft uses OpenAI’s technology to build AGI before its formal declaration, compute limits will apply, significantly above current industry-leading training scales.

Financially, OpenAI has committed to purchasing an additional $250 billion in Azure services, while Microsoft relinquishes its previous right of first refusal as OpenAI’s cloud partner. OpenAI is now also permitted to provide API access to U.S. national security entities and release open-weight models when they meet safety criteria.
